1.    Definitions

Consumer: the natural person who purchases products from INDUSHOP for private use outside the exercise of a profession or business;

Customer: the consumer and the natural or legal person who purchases products from INDUSHOP in the context of practising a profession or running a business; website: www.indushop.eu

Price: price for the products expressed in Euro, excluding transport costs, including VAT

Products: all existing and future products offered for sale by the Seller.

Distance contract: an agreement whereby, within the framework of a system organised by INDUSHOP for the distance sale of products and/or services, up to and including the conclusion of the agreement, exclusive use is made of one or more techniques for distance communication.

Right of withdrawal: the possibility for the consumer to waive the distance contract within the cooling-off period.

Day: calendar day         

2.    Introduction

These terms and conditions of sale apply to all current and future sales of products by INDUSHOP to the buyer. Once you make use of our website, as a buyer you accept these Terms of Sale, as well as all other rights and obligations as stated on the website.

INDUSHOP reserves the right to change and/or supplement the terms and conditions of sale at any time for future orders. A future change will obviously not affect existing product orders and the resulting agreements.

3.    Applicability

Orders;

Orders are addressed to the registered office of the Seller following the offers made to the Customer by the Seller's representatives, by connecting to the Seller's website from the Customer Area provided for online orders or by any other usual means. Orders only become final after acceptance by the Vendor. This acceptance is evidenced either by the confirmation of the Order by e-mail or by the actual delivery of the Products ordered.

Photographs or drawings in the Seller's catalogues do not fall within the contractual scope. The Seller reserves the right to deliver the Products which, either in their entirety or in part, have undergone modifications, additions, or improvements, however without affecting their essential characteristics, and this even after receipt of the Order.

The Seller reserves the right to refuse the Orders in case the Customer does not comply with any obligation and, more generally, to refuse any Order that, for whatever reason, acquires an abnormal character or is made in bad faith.

The modification or cancellation of the Order placed by the Customer can only be considered by the Seller if it is communicated to him in writing before the dispatch of the Products and such modification or cancellation will have to be the subject of a written acceptance by the Seller.

The order of customised products, orders on which it is stated "will not be taken back nor exchanged", as well as orders for models not mentioned in the latest edition of the Vendor's catalogues, may under no circumstances be cancelled by the Customer or taken back by the Vendor.

4.    Tariff/price

Prices are quoted excluding VAT, ex Seller's warehouses. The Products are invoiced at the prices agreed between the Parties according to the Tariff in force on the day of the order.

The Seller's Tariff is deemed subject to change at any time by the Seller, without prior notice. Products shall be invoiced on the basis of the Tariffs in force at the time the order is accepted. The price payable shall be that stated in the order confirmation.

 

5.    Payment

For distance sales, the payment methods for the customer are credit card (Visa, Mastercard, Maestro), PayPal, debit card or bank transfer as follows. Customers ordering products from INDUSHOP pay prior to the delivery of the products.

Buyers placing a product order as part of a business or professional activity may obtain an invoice on request.

INDUSHOP postpones its delivery obligations until receipt of full payment of all amounts owed by the buyer. INDUSHOP always retains ownership of all products ordered until full payment of all amounts due under this agreement, regardless of whether the delivery has already taken place.

6.    Delivery time

 The delivery time is approximated as accurately as possible by INDUSHOP, but can only be regarded as a target date/period and not as a strict deadline.

INDUSHOP reserves all unforeseen circumstances, as INDUSHOP may be dependent on third parties.

The Contractor is not entitled to any compensation in the event that the estimated delivery time is exceeded. As a result of exceeding the delivery time, the contracting party cannot cancel the order or refuse receipt and/or payment of the goods.

7.    Delivery

Deliveries are made exclusively within Europe. Orders are delivered as soon as possible, but at the latest within 1 to 7 days, unless agreed otherwise. The delivery times are indicative only and are never to be considered deadlines.

If a product that is temporarily out of stock is ordered by the customer, it will be delivered within 7 days.

Delays caused by INDUSHOP will be reported to the customer by e-mail or telephone.

8.    Ownership and risk

Ownership of products is transferred at the moment INDUSHOP receives full payment. The customer may not encumber, sell, resell, alienate or otherwise encumber the products before ownership has been transferred. The risk passes at the time of delivery of products.

9.    Rejection and cooling-off period

Customers may reject products due to visible deviations from the agreed product within 7 days of delivery.

Thereafter, the products are deemed to have been accepted. INDUSHOP does not offer the customer a reflection period.

10.    Force majeure

In the event of force majeure, INDUSHOP shall not be obliged to fulfil its obligations towards the Customer, respectively the obligation shall be suspended for the duration of the force majeure. INDUSHOP is not liable for a delay in performance or for non-performance of its obligations due to events beyond its normal control. Force majeure is defined as any circumstance beyond its control which prevents the fulfilment of its obligations towards the customer in whole or in part.

Such circumstances include, inter alia, strikes, fires, operational breakdowns, energy disruptions, transport impediments, non-delivery or late delivery by suppliers or other engaged third parties and the absence of any permit to be obtained through the government. Force majeure shall also include failures in a network or connection or communication system used and/or the unavailability of the website at any time.

11.    Personal data

INDUSHOP shall only process customer data in accordance with its privacy and cookie policy. The website contains a comprehensive privacy and cookie policy.

12.    Consumer Complaints Procedure

All agreements entered into with INDUSHOP are governed by Belgian law, to which these General Terms and Conditions apply as a supplement and insofar as provisions of mandatory law apply.
